ByteDance, the Chinese parent company of TikTok, recently created a separate American entity to manage the app’s operations in the United States. This restructuring aims to distance U.S. TikTok from its Chinese parent, addressing long-standing concerns from lawmakers about data privacy and potential foreign control.
The move follows years of political pressure and a 2024 law enacted by Congress that mandated the separation of TikTok’s U.S. operations from ByteDance. Under the new structure, approximately 80 percent of the U.S. TikTok entity is owned by non-Chinese investors, with ByteDance retaining only a 19.9 percent share.
The newly formed entity, named TikTok USDS Joint Venture LLC, licenses TikTok’s recommendation algorithm from ByteDance. It independently manages content moderation and oversees data protection, algorithm security, and software controls.
A managing investor group holds a combined 45 percent stake in the U.S. business. This group consists of Oracle, the private equity firm Silver Lake, and the investment firm MGX, each holding a 15 percent stake.
Oracle is a leading cloud computing and database firm that previously attempted to acquire TikTok and already provides cloud infrastructure for the app, managing its U.S. user data. In the new deal, Oracle serves as the security partner, auditing TikTok’s compliance with U.S. security requirements, managing data storage, and overseeing updates to the content recommendation algorithm.
MGX is an AI-focused investment firm based in the United Arab Emirates, created by Abu Dhabi’s sovereign wealth fund Mubadala and the Emirati AI company G42. MGX’s stake could give it influence over key decisions shaping TikTok’s AI direction. The firm backs several major AI companies and contributed to a large AI data center initiative.
Silver Lake is a leading U.S. private equity firm with a history of major technology investments. Its role in U.S. TikTok is primarily financial and strategic, providing capital and expertise to help shape the platform’s direction. Silver Lake has collaborated with MGX in the past and has also invested in G42.
Other investors in the U.S. TikTok entity include the Dell Family Office, Vastmere Strategic Investments, Alpha Wave Partners, Virgo LI, NJJ Capital, Revolution, Merritt Way, and Via Nova.
